4. Consulting Services
- Client Responsibility: Clients are responsible for providing accurate and complete information to enable us to deliver effective consulting services. Delays or additional costs resulting from inaccurate information provided by the client are the client’s responsibility.
- Project Deliverables: The scope, deliverables, timeline, and costs of each project will be specified in a separate agreement signed by both Steadman Global and the client. Any changes to the project scope or timeline may result in additional costs or extended deadlines.
- Confidentiality: We commit to treating all client information as confidential. Both parties agree not to disclose confidential information to any third party without the other’s consent, except as required by law.
5. Fees and Payment
- Pricing: Our fees are outlined in each project proposal or agreement. We reserve the right to change our fees, but any change will not affect ongoing projects.
- Invoicing and Payment: Payment terms, including payment schedule, are specified in the service agreement. Late payments may incur additional charges or interest as stated in the agreement.
- Taxes: Clients are responsible for paying any applicable taxes, including VAT or other sales taxes associated with the consulting services.
6. Limitation of Liability
- No Guarantee of Results: While we strive to provide the best consulting services, we cannot guarantee specific results or outcomes. Success depends on various factors beyond our control, including client cooperation and market conditions.
- Liability: To the fullest extent permitted by law, Steadman Global Consulting shall not be liable for any indirect, incidental, or consequential damages arising out of or related to the use of our services. Our total liability to any client shall not exceed the total fees paid by that client in the past 12 months.
7. Termination of Services
- Termination by Client: A client may terminate their engagement with us at any time, subject to the terms of their service agreement, which may include payment for work completed and reasonable cancellation fees.
- Termination by Steadman Global: We reserve the right to terminate a project or service engagement if a client fails to meet their obligations, including timely payments or provision of required information.
- Effects of Termination: Upon termination, any outstanding fees become immediately due, and both parties are bound to confidentiality obligations even after termination.
8. Confidentiality
Both parties agree to protect each other’s confidential information. “Confidential information” refers to non-public information disclosed by one party to the other. Neither party will disclose confidential information to any third party without consent, except as required by law.
9. Privacy Policy
Your use of our services and website is also governed by our Privacy Policy, which outlines how we collect, use, and protect your personal information. By using our services, you consent to the collection and use of your data as described in our Privacy Policy.
10. Intellectual Property
All intellectual property rights, including copyrights, trademarks, and trade secrets, related to the services we provide and content on our website belong to Steadman Global Consulting or our licensors. Unauthorized use or distribution of our intellectual property is strictly prohibited.
11. Indemnification
You agree to indemnify and hold harmless Steadman Global Consulting, its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of our website or services, violation of these Terms, or infringement of any third-party rights.

These Terms and any disputes arising from your use of our services shall be governed by and construed in accordance with the laws of Uganda. By engaging with Steadman Global Consulting, you agree to submit to the exclusive jurisdiction of the courts in Uganda.
